Terms of Service

These Terms govern your use of Vivoce, an online platform for conducting and grading oral and written examinations using artificial intelligence ("the Service"). The Service is provided by Vivoce ("Vivoce", "we", "us"). By creating an account or using the Service you agree to these Terms. If you are using the Service for an institution, you confirm you are authorised to accept these Terms on its behalf.
1. The Service
Vivoce lets an examiner author exams, have them delivered adaptively to students (typed or by voice), and have the resulting transcripts graded by a panel of AI models, with results made available to the examiner. Students access exams via a link and do not create accounts.
2. Accounts
Examiners sign in with Google. You are responsible for activity under your account and for keeping your sign-in secure. You must provide accurate information and be at least 18 years old (or the age of majority in your jurisdiction).
3. Your responsibilities
You are responsible for the exams you create and the data you enter. In particular you represent and warrant that:
- you are authorised to collect and process the student information you enter, and have obtained any consents required by your institution or by law;
- your exam content and uploaded materials do not infringe others' intellectual property or other rights, and are lawful;
- you will comply with your institution's assessment and academic-integrity policies and with applicable law; and
- you will not use the Service to store or process sensitive information beyond what is reasonably necessary to run and grade an exam.
5. Credits and payment
- The Service uses prepaid credits. Unless stated otherwise, one credit is consumed per student exam attempt (including retakes). Examiner test runs do not consume credits.
- A student cannot begin an exam unless the examiner's account has at least one credit.
- Credits are purchased through our payment processor, Stripe. Prices are shown at the time of purchase and may change; changes do not affect credits already bought.
- Except where required by applicable law, purchased credits are non-refundable and have no cash value.
6. Acceptable use
You must not: use the Service unlawfully or to infringe others' rights; upload malicious code; attempt to gain unauthorised access to the Service or other users' data; disrupt or overload the Service; or resell or provide the Service to third parties except your own students and staff.
7. Intellectual property
You keep ownership of the exam content and materials you create or upload. You grant Vivoce a licence to host, process, and transmit that content as needed to provide the Service to you (including sharing it with the AI and infrastructure providers described in our Privacy Policy). Vivoce and its underlying software, design, and branding remain our property.
8. Data protection
Our handling of personal information is described in the Privacy Policy. As between you and us, where you enter student information you are the party responsible for that information (its custodian), and we process it on your behalf to provide the Service.
9. Availability
The Service is provided on an "as is" and "as available" basis. We aim for reliable service but do not guarantee it will be uninterrupted or error-free, and we may modify, suspend, or discontinue features.
10. Warranties and liability
Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy you have under applicable law that cannot lawfully be excluded. To the maximum extent permitted by law, and subject to those non-excludable rights:
- we exclude all other warranties, express or implied;
- we are not liable for indirect, incidental, or consequential loss, or for loss of data, profits, or goodwill; and
- our total liability arising out of or in connection with the Service is limited to the greater of the fees you paid to us in the 12 months before the claim, or (where permitted) the resupply of the Service.
11. Indemnity
You agree to indemnify Vivoce against claims, losses, and costs arising from your breach of these Terms, your misuse of the Service, or your handling of student or other data without proper authority or consent.
12. Suspension and termination
You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms or use the Service in a way that risks harm to others or to the Service. Handling of data after termination is described in the Privacy Policy.
13. Changes to these Terms
We may update these Terms from time to time. The "last updated" date reflects the current version; continued use after changes take effect constitutes acceptance.
